Hi sir,
What is the key difference between Ordinary and Special resolutions as applied to Company Law ?
Your guidance please.
Majority voting in favour for the resolution to be carried:
Ordinary >50% Special 75%
Definition: Special resolutions are specifically defined within company law
Notice period: Notice period for an ordinary resolution depends what sort of business is being proposed:
Ordinary business – no notice period specifically required
Ordinary resolution – not less that 3 days’ notice required
Ordinary resolution with special notice – 21 days’ notice required
Notice period for a special resolution is 14 days
Purposes: Special resolutions are required, in company law, for a number of specific resolutions (approximately 36)
If a resolution is not to be passed as a special resolution, then by default it’s an ordinary resolution
