It says to call for a meeting to pass a ordinary resolution we must give 14 days notice, then what is this for – The request must be delivered not less than 6 weeks before the general meeting. What is this for?
November 14, 2016 at 7:20 am #348808When a member (or, more likely, a group of members) wishes to have a general meeting of the company’s members, that member may require the directors to convene such a general meeting of members
This could be, for example, because a member wishes to propose that a particular director be removed from office so special notice is required
But not only is special notice of 28 days required to be given to the company so that the company may notify the affected director straight away. The requisitionists must also comply with the separate requirement that 6 weeks’ notice must be given where the initiative to call a meeting comes from other than the directors

November 14, 2016 at 8:13 am #348817oh, so they must give a six weeks notice to the compnay to convene a meeting, and then if it is a ordinary resolution with special notive, that requires 28 days in those 6 weeks.

technically it is the directors who call meetings and prospse resolutions, but ofcourse members can do so to??

Technically, in practice, it’s the company secretary that calls the meetings but only does so “By order of the Board”
Why not check out the financial statements of a UK quoted company (try Devro Plc) and look up the notice of general meeting – you’ll see that it’s signed by the company secretary by order of the Board

Only in exceptionally rare circumstances may members call meetings. When the required number / percentage of members have requested that the directors convene a meeting with the appropriate 6 weeks notice period, and the directors have failed to take action to convene a meeting after that request, only then can the members call that meeting
But this is a law exam for accountants! It’s not a law exam for prospective judges!!!
