    do we need to submit Articles of Assoc. to the registrar when forming a co?

    hmmm….the following is from bpp kit:

    “To re3gister a company, a number of documents must be submitted to the Registrar of Companies.

    Which of the following is NOT a document that needs to be sent to the Registrar to register a company

    1. Articles of Assoc
    2. Memorandum of Assoc
    3. statement of compliance
    4. statement of proposed officers”

    the answer is 1 and the explaination given is “if the articles are not sent, the model articles relevent to the type of company will be issued”

    Can you please comment on this?

    That’s a sneaky question and a number of points arise out of it:

    1) you’re testing me ….. and I don’t appreciate that 🙁

    2) technically, I suppose BPP could be correct though I seem to remember that this applies only to private companies

    3) even if it were true, a company must indicate to the Registrar that it wishes to adopt the model set

    4) I happen to have been reading about this very matter yesterday and seem to remember reading that articles had to be sent in order to register.

    Ok?

    And in future, don’t send in questions that are testing me 🙁

    there is no reason for me to test you. i was doing this question from bpp and i simply cd not understand because everywhere i had read, it said quite clearly that articles had to be submitted.

    and thats why i had asked a simple one liner question.

    my reason for posting this question in its entirety was to get ur comments because these approved texts do make mistakes.

    you can see this question for urself in the bpp kit.
