    Sir, I am confused between these terms in F4.

    Please explain whether they are used interchangeably or are simply different terms.

    Plaintiff and claimant – refers to the injured party (one who has been done wronged)

    Defendant – refers to the breaching party (one who is in breach of contract)

    Secondly, Is it true that the veil of incorporation is lifted by the court to make members or directors personally liable for the company’s debt?

    And there are 3 reasons why lifting veil of incorporation becomes necessary such as:
    1) Business trading w/o trading certificate
    2) Fraudulent trading and wrongful trading
    3) Pheonix company

    Could you please explain these three reasons in depth?

    I believe that, for the Law ACCA exam, we can treat the two as synonymous

    Your second question, yes, that seems to be a fair conclusion for you to have reached

    Where have you found this ‘definitive’ list of three reasons?

    I don’t believe that the Ebrahimi case fits neatly into your three situations. Do you?

    It’s always a problem for we lecturers when a student askes for an ‘in depth’ explanation!

    What you have in the notes and lectures should be sufficient for you to pass the Law exam with quite some degree of comfort

    But, of course, endless hours at home with a revision kit will pay enormous dividends
