can you please clarify the difference between those charged with governance and management with examples….

In a two tier board, those charged with governance would be primarily the non-executive directors
The management would be the executive directors
In a single-tier board, you could include all the directors in the category “those charged with governance” but you would probably only include the executive directors in the title “management”
